This contract is between Shira Rosenberg, DBA Zebra Design Studios (HEREINAFTER “Designer”)
& {Your client’s name} (HEREINAFTER “CLIENT”)
1. PROJECT SCOPE
The designer will render the services specified in the proposal, which is incorporated into this agreement by reference. This includes all deliverables, revisions, and post-launch support as stated there.
Services to be rendered are limited to those specified in the proposal.

Any work not included in the proposal will be:

provided on an as-available basis

agreed upon via an updated proposal OR billed hourly at $120/hr.
2. TIMELINE
The project begins once this agreement is signed and the 50% deposit is paid. Designer will confirm the start date, expected delivery date, and project end date in writing (in the welcome email) once the deposit is received.
The timeline confirmed in the welcome email assumes that:

Client submits the completed discovery questionnaire and all required materials (including any existing logos, assets, and research) within one week of the project start date, and
-
Client returns all feedback and revision requests within 4 days of Designer sending each draft, moodboard, or revision.
Delays on the Client's side shift the timeline accordingly.
The project is considered complete upon the earlier of:

delivery of the final files, or
-
the project end date confirmed in the welcome email.
Once the final files are delivered, Client has 4 days to raise any issues covered by the included revisions. If no issues are raised within 4 days, the final delivery is deemed accepted and the project is considered complete.
After completion, any further work, including changes, additions, or new deliverables, is billed separately on an as-available basis, as described in Clause 1.
3. FEE SCHEDULE & TERMS
Full investment for the full project scope listed in the proposal is XXX.
Client will make payment to the Designer according to the following schedule:

A non-refundable 50% deposit is required to initiate work. This will be paid within 3 days of signing this agreement.

The remaining non-refundable 50% balance is invoiced before delivery of the final brand files.
The price mentioned above and listed in the proposal is valid for up to 30 days from the delivery date of this proposal.
4. PAYMENT METHOD & MISSED PAYMENTS
Payment shall be billed via invoice and made via credit card or Zelle.
Payments not received by their due date will result in a cancellation of this Agreement and/or a delay in delivery.
Final files will not be delivered until payment is received in full. If payment is not received by the agreed end date, the project will be considered abandoned, and any work completed will not be delivered.
5. REVISIONS
Revisions are clearly stated in the proposal.

Additional revisions will be:

provided on an as-available basis

billed at $120/hr.

All revisions requested post-final design approval and/or uploading will be billed at $120/hr, with a minimum billing time of a half hour.
6. RUSH FEE
Revisions require a minimum of 48 hours' notice.

A rush fee of an additional 30% of the total price will apply to any work or revisions requested for completion with less than 48 hours' notice on business days.
7. AGREEMENT DURATION
-
This agreement will terminate on the confirmed project end date or after final designs are provided, whichever comes first. Further work will be provided on an as-available basis and will be billed separately.
8. PROJECT CONTACT
-
Designer will accept feedback, revisions, and approvals from one contact person only.
-
{Name of Main Project Contact} will be the sole point of contact for this project. All communication regarding goals, content, edits, additions/subtractions, and compensation will be conducted through him/her.

{Name of Main Project Contact} may include feedback from other persons or professionals and submit it with each revision.
9. CHANGES AFTER INITIAL DISCOVERY
Designer will develop project based on the

Changes to photos, name, or info after the start date will be billed separately.
10. DESIGNER RESPONSIBILITIES

Service.
-
Designer agrees to provide Client with professional service at all times and to regularly check email and respond to Client’s emails in a timely fashion (within 48 hours Monday-Friday, unless otherwise noted).

Confidentiality.
-
Any confidential information Client shares with Designer concerning Client’s business, affairs, or customers shall be held strictly confidential.

Original work.
-
Designer certifies that all work in our final delivered work product is our own work and that it does not infringe upon any copyright or other intellectual property rights of any third party.
Designer observes Shabbos and Jewish holidays. These periods are excluded from all response-time and turnaround commitments, and timelines shift accordingly.
11. CLIENT RESPONSIBILITIES
In order for Client to get the most value out of this partnership, Client agrees to:

regularly check email and respond to all requests for information and/or materials within 48 hours.

Send any relevant market research data that would assist Designer in understanding the industry and target audience
-
Provide feedback/revision requests within 4 days of delivery of drafts.
If Client fails to…
-
send feedback within 4 days of receiving deliverables, or
-
send requested materials within 48 hours of Designer’s request
The project is automatically paused and can be resumed only when Designer can next fit it in for a 30% project total fee.
12. PHONE MEETINGS
The Designer initiates phone meetings.

Beyond these meetings, all calls are billed hourly at $120/hr in 15-minute increments, with a 30 minute minimum.
-
Check-in calls lasting 5 minutes or less are excluded and will not be billed.
-
In-person meetings will be billed at $220/hr.
13. EXECUTION OF WORK
-
Shira Rosenberg will be the primary designer (AKA creative director) on the project. We will, as needed, engage trusted employees and subcontractors to provide content support. Any work completed by other team members will be in accordance with the quality standards of Zebra Design Studios.
14. CANCELLATION
Due to the nature of the services provided, all sales are final, and we maintain a strict NO REFUND policy. If you decide that you no longer wish to continue with the Services, you may cancel this Agreement, but no refund will be issued, and you will still be financially responsible for the entire Service fee.
15. COPYRIGHT

All copyright in the works produced pursuant to this agreement remain with Designer until payment is received in full.

Open files and additional file formats are not included unless otherwise listed in the proposal. They can be purchased at an additional 100% of the price of said file.

Once full and final payment is received, copyright in the work Designer produces in relation to the Project is automatically assigned to Client. At that point, Client is free to use the graphics however Client wishes.
-
Shira Rosenberg, DBA Zebra Design Studios, shall retain a limited perpetual license in the work product for use in the company’s existing and future online portfolios. Zebra Design Studios may also display client logos in existing and future online portfolios.
16. GOVERNING LAW & JURISDICTION
If there is a dispute or claim arising out of or in connection with this agreement, it shall be governed by the laws of the State of New York.
17. NON-DISPARAGEMENT
Designer and Client both agree not to make statements orally or in writing that may be construed as negative or damaging to the other party’s reputation.
18. LIMITATION OF LIABILITY

Illness or injury.
-
If Designer cannot perform the responsibilities under this Agreement due to a fire, casualty, severe illness, strike, or other civil disturbances, Acts of God, including but not limited to fire, terrorism, or other causes beyond the control of the parties, then Designer shall return any money paid by Client, but shall have no further liability with respect to this Agreement.

Errors.
-
Designer is not responsible for any graphical, printing, or typographical error, final print colors not matching, digital proof colors viewed on the client’s screen, or for any approved proof errors, regardless of where the error originated.
19. AGREEMENT PROVISIONS
If any provision of this Agreement is held to be invalid or unenforceable, all other provisions of this Agreement remain in full force and effect.
